Terms of Service

Effective date: April 20, 2026

1. Acceptance of Terms

By accessing or using the AIR End Screens platform ("Platform", "Service"), you agree to be bound by these Terms of Service ("Terms"). The Platform is owned and operated by REST & VEST LLC, registered at Shams Business Center, Sharjah Media City Free Zone, Al Messaned, Sharjah, United Arab Emirates.

If you do not agree to these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you ("User", "you") and REST & VEST LLC ("Company", "we", "us").

2. Service Description

AIR End Screens is a platform designed to help YouTube creators manage and optimize their end screens. The Service includes, but is not limited to:

  • End screen templates — create, manage, and apply reusable end screen layouts to your videos
  • Automated sync via YouTube API and YouTube Studio — synchronize end screen configurations with your YouTube channel
  • Analytics — track and analyze end screen performance metrics across your videos
  • Traffic exchange marketplace (P2P) — a peer-to-peer marketplace where creators can buy and sell end screen placements to exchange traffic
  • Campaign automation — set up automated rules and triggers for end screen placement and management
  • Team collaboration — invite team members to manage channels and end screens with role-based access
  • Chrome extension — a browser extension that facilitates YouTube Studio credential synchronization for end screen management

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have a valid YouTube channel that is in good standing
  • Have the authority to connect the YouTube channels you register on the Platform
  • Comply with the YouTube Terms of Service and Google Terms of Service

By using the Platform, you represent and warrant that you meet all of the above eligibility requirements.

4. Account Registration & Security

You may create an account using Google OAuth or email and password authentication. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain the security of your account credentials and not share them with any third party
  • Be responsible for all activity that occurs under your account
  • Notify us immediately at [email protected] if you suspect unauthorized access to your account

You are solely responsible for maintaining the confidentiality of your login credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

5. YouTube Integration & Data Access

The Platform integrates with YouTube to provide its core functionality. By connecting your YouTube channel, you acknowledge and agree to the following:

5.1 API Access

The Platform accesses your YouTube data in a read-only capacity via the YouTube Data API v3 and the YouTube Analytics API. This data is used to display your channel information, video metadata, and performance analytics within the Platform.

5.2 Chrome Extension

The Platform offers a Chrome Extension that facilitates synchronization with YouTube Studio. By using the Chrome Extension, you consent to the collection and use of YouTube Studio session credentials solely for the purpose of managing end screens on your behalf.

5.3 Channel Connection

You represent and warrant that you have the right to connect any YouTube channel you register on the Platform. You may disconnect your channel at any time through the Platform settings. You may also revoke the Platform's access to your Google account via your Google Security Settings.

5.4 Compliance

Our use of YouTube data complies with the YouTube Terms of Service and the Google API Services User Data Policy.

6. Marketplace Terms

The Platform includes a peer-to-peer (P2P) traffic exchange marketplace where creators can buy and sell end screen placements. The following terms apply to all marketplace activity:

6.1 Marketplace Model

The marketplace operates on a peer-to-peer basis between buyers (creators who purchase end screen placements) and sellers (creators who offer their video end screens for placement).

6.2 Pricing

Sellers set their own RPM (revenue per mille) rates. The Platform may apply quality coefficients that affect the final pricing based on channel and video performance metrics. The Platform charges a commission on marketplace transactions as displayed at the time of purchase.

6.3 Payments

All marketplace payments are processed via Stripe Connect. Sellers must have a valid Stripe Connect account to receive payouts. Payment terms and processing times are subject to Stripe's terms and conditions.

6.4 Order Flow

The standard marketplace order flow is as follows:

  • The buyer creates an order and pays for the end screen placement
  • The seller reviews the order and accepts or rejects it
  • Upon acceptance, the seller fulfills the order by placing the buyer's end screen
  • The order is marked as completed once fulfillment is confirmed

6.5 Refunds

If a seller rejects an order or fails to fulfill it within the specified timeframe, the buyer will receive a full refund. Refunds are processed through Stripe and may take several business days to appear in the buyer's account.

6.6 No Guarantee of Results

The Platform does not guarantee any specific results, views, clicks, or traffic from marketplace placements. Performance depends on numerous factors outside our control, including video content, audience engagement, and YouTube's recommendation algorithm.

6.7 Seller Obligations

Sellers are responsible for:

  • Maintaining accurate channel and video information
  • Fulfilling accepted orders in a timely manner
  • Ensuring their content complies with YouTube's policies and community guidelines
  • Not artificially inflating metrics or misleading buyers about their channel's performance

7. Traffic Exchange Terms

The Platform offers a traffic exchange feature that enables bilateral end screen swaps between creators. The following terms apply:

7.1 Exchange Model

Traffic exchanges operate as bilateral swaps where two creators mutually place each other's end screens. The Platform supports both balanced exchanges (equal swap volume) and one-way exchanges (asymmetric placement).

7.2 Channel Requirements

To participate in traffic exchanges, you must have a valid, connected YouTube channel with end screen eligibility. Channels must remain connected and in good standing throughout the duration of any active exchange.

7.3 No Performance Guarantees

The Platform does not guarantee any specific traffic, views, or engagement results from traffic exchanges. Actual performance depends on factors beyond our control.

7.4 Cancellation

You may cancel traffic exchanges, subject to any outstanding order obligations. Active orders must be completed or resolved before an exchange can be fully terminated.

8. Campaign Terms

The Platform provides campaign automation tools for managing end screen placements. The following terms apply:

8.1 Automated Placement

Campaigns enable automated end screen placement based on rules and triggers you configure. You are solely responsible for the configuration of your campaigns.

8.2 Triggers

Campaigns may be triggered by various metrics and conditions, including but not limited to click-through rate (CTR), total clicks, and video duration thresholds. You are responsible for setting appropriate trigger values.

8.3 User Responsibility

You are solely responsible for the configuration and outcome of your campaigns. The Platform is not liable for any end screen changes, removals, or replacements that result from your campaign settings.

8.4 Control

You may pause or stop any campaign at any time through the Platform interface.

9. Chrome Extension Terms

The Platform offers a Chrome Extension to facilitate YouTube Studio integration. By installing and using the Chrome Extension, you agree to the following:

9.1 Purpose

The Chrome Extension facilitates the synchronization of YouTube Studio credentials to enable end screen management through the Platform.

9.2 Data Collection

By using the Chrome Extension, you consent to the collection of YouTube Studio session cookies. These credentials are used solely for the purpose of managing end screens on your behalf.

9.3 Limited Use

Collected credentials are used exclusively for end screen management functionality. They are not used for any other purpose, shared with third parties, or sold.

9.4 Removal

You may uninstall the Chrome Extension at any time. You may also delete your stored credentials through the Platform settings. The Platform is not responsible for any changes made by YouTube to YouTube Studio that may affect the Chrome Extension's functionality.

10. Team & Channel Access

The Platform supports team collaboration with role-based access control. The following terms apply:

10.1 Invitations & Roles

Channel owners may invite team members and assign roles, including manager and viewer. Each role grants different levels of access and permissions within the Platform.

10.2 Owner Responsibilities

Channel owners are responsible for managing team access, including adding and removing members and assigning appropriate roles. Owners should regularly review team membership and permissions.

10.3 Revoking Access

Revoking a team member's access immediately removes their ability to view or manage the associated channel and its end screens within the Platform.

10.4 Member Accounts

All team members must have their own individual Platform accounts. Sharing accounts between team members is not permitted.

11. Prohibited Use

You agree not to use the Platform to:

  • Violate the YouTube Terms of Service or Google Terms of Service
  • Engage in spam, fraud, or deceptive practices
  • Artificially manipulate metrics, views, clicks, or engagement
  • Use bots, scripts, or automated tools to interact with the Platform in unauthorized ways
  • Reverse-engineer, decompile, or disassemble any part of the Platform
  • Share, sell, or transfer your account credentials to any third party
  • Harm, harass, or negatively impact other creators on the Platform
  • Circumvent any fees, commissions, or payment mechanisms of the Platform

Violation of these prohibitions may result in immediate suspension or termination of your account, at our sole discretion.

12. Intellectual Property

12.1 Platform Ownership

The Platform, including its design, code, features, and branding, is owned by REST & VEST LLC. All rights, title, and interest in and to the Platform are reserved.

12.2 User Content

You retain all ownership rights to your content, including your YouTube videos, channel data, and creative materials. By using the Platform, you do not transfer any intellectual property rights to us.

12.3 Templates

End screen templates you create using the Platform are your property. You may use Platform-provided layouts and design elements as part of your templates, but the underlying layout designs remain the property of REST & VEST LLC.

12.4 Limited License

By connecting your YouTube channel, you grant us a limited, non-exclusive license to display your channel name, avatar, video thumbnails, and video metadata within the Platform for the purpose of providing the Service. This license terminates when you disconnect your channel or delete your account.

13. Disclaimers & Limitation of Liability

13.1 "As Is" Service

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13.2 No Guarantees

We make no guarantees regarding uptime, data accuracy, or the continued availability of third-party APIs (including YouTube Data API, YouTube Analytics API, and YouTube Studio).

13.3 Third-Party Changes

We are not liable for any changes, disruptions, or discontinuations made by YouTube, Google, Stripe, or any other third-party service that may affect the Platform's functionality.

13.4 Maximum Liability

To the maximum extent permitted by law, our total liability to you for any claims arising from or related to your use of the Platform shall not exceed the total fees you have paid to us in the twelve (12) months preceding the claim.

13.5 Marketplace Losses

We are not responsible for any losses, damages, or disputes arising from marketplace transactions between buyers and sellers. The marketplace operates on a peer-to-peer basis, and users transact at their own risk.

13.6 End Screen Impact

We are not liable for any impact that end screen placements, changes, or removals may have on your video performance, channel growth, or YouTube standing.

14. Termination

14.1 User Termination

You may terminate your account at any time through the Platform Settings. Upon termination, your data will be handled in accordance with our Privacy Policy.

14.2 Company Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in prohibited activities, or if we reasonably believe your continued use poses a risk to the Platform or other users.

14.3 Maintenance Suspension

We may temporarily suspend access to the Platform for maintenance, updates, or security purposes. We will provide reasonable notice when possible for planned maintenance.

14.4 Active Orders

Upon termination, any active marketplace orders or traffic exchange commitments must be resolved. We reserve the right to process refunds or complete pending transactions as necessary.

14.5 Surviving Provisions

Sections relating to intellectual property, disclaimers, limitation of liability, governing law, and any other provisions that by their nature should survive termination shall continue in effect after your account is terminated.

15. Governing Law & Disputes

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

15.2 Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the competent courts of the United Arab Emirates.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through a notice on the Platform.

Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must stop using the Platform.
